Welcome to WinkSell. These Terms of Service ("Terms") govern your access to and use of the WinkSell software and services provided by Logico Global ("WinkSell", "we", "our", or "us"). By creating an account or using WinkSell, you agree to be bound by these Terms.

[ About WinkSell ]

WinkSell is a cloud-based Software as a Service (SaaS) platform designed to help businesses manage billing, inventory, accounting and day-to-day retail operations.

The service is available through:

1. https://winksell.com
2. Any official WinkSell subdomain

WinkSell is provided exclusively as an online service. No offline version is available.

[ Ownership & Intellectual Property ]

1. WinkSell, including its software, source code, user interface, trademarks, logos and related intellectual property, is exclusively owned by Logico Global.
2. Your subscription grants you a non-exclusive, non-transferable right to use the software during your active subscription period. No ownership rights are transferred to customers.

[ Customer Data ]

You retain ownership of all business data entered into WinkSell.

As the system provides facilities to export reports and business data, customers are responsible for maintaining their own backups of important information.

[ Service Availability ]

We strive to maintain reliable service availability and continuously monitor the platform.

If a technical issue is reported, our team will make reasonable efforts to investigate and resolve the issue as quickly as possible.

While we aim for uninterrupted service, we cannot guarantee that the service will always be available without interruption.

Should Logico Global decide to permanently discontinue WinkSell, existing customers will be notified at least six (6) months in advance.

[ Subscription & Billing ]

Monthly Subscription

WinkSell operates on a post-paid monthly subscription model.

• Subscription fees are charged per business branch.
• One license holder may create multiple branches under a single account, with subscription charges applied accordingly.
• Each branch may operate multiple POS terminals without additional terminal licensing fees.

[ Free Trial ]

Every new customer receives a 30-day free trial beginning on the date of account creation.

No advance payment is required to start using WinkSell.

[ Billing Cycle ]

After the free trial expires:

• Billing invoices are generated on the first day of each month.
• Charges are calculated on a post-paid basis.
• Payment must be completed no later than the 10th day of the invoicing month.
• Payments must be made through the official WinkSell payment system.

[ Pricing Changes ]

If subscription pricing changes in the future, existing customers will receive at least two (2) months' prior notice via the primary email address registered with their account.

[ Suspension & Account Cancellation ]

• Failure to pay outstanding invoices may result in temporary suspension of service.
• Suspended accounts can be restored automatically by paying all outstanding invoices within two (2) months of suspension.
• If payment remains outstanding for two consecutive billing cycles, Logico Global reserves the right to permanently terminate the account and delete associated data.

[ Refund Policy ]

WinkSell operates entirely on a post-paid billing model.

Since customers are billed only after using the service, no advance payments are collected and therefore no refunds are applicable.

[ System Scalability & Improvements ]

We continuously improve WinkSell by introducing new features, performance enhancements and security updates based on customer feedback and evolving technology.

Feature updates are provided at our discretion and may be released without prior notice.

[ Custom Development ]

Customers requiring functionality beyond the standard WinkSell platform may request custom development services.

Customizations are subject to separate evaluation, pricing and implementation agreements.

[ Acceptable Use ]

Customers agree not to:

• Attempt unauthorized access to the service.
• Reverse engineer or copy any part of the software.
• Interfere with or disrupt system operation.
• Use WinkSell for unlawful activities.
• Share login credentials with unauthorized parties.

Violation of these terms may result in suspension or termination of service.

[ Limitation of Liability ]

WinkSell is provided on an "as available" basis.

To the maximum extent permitted by applicable law, Logico Global shall not be liable for indirect, incidental or consequential damages arising from the use or inability to use the service, including loss of profits, business interruption or data loss.

[ Changes to These Terms ]

We may update these Terms from time to time.

Material changes will be communicated through our website or by email where appropriate.

Continued use of WinkSell after such changes constitutes acceptance of the updated Terms.
